Minutes of Board of Directors Adjourned Meeting held December 22, 1994
Call to Order: The Board of Directors of the Costa Mesa Sanitary District met in regular
adjourned session on December 22, 1994, 4:00 p.m., at the Civic Center,
77 Fair Drive, Costa Mesa.
Director Ferryman called the meeting to order at 4:00 p.m.
Director Perry led the Pledge of Allegiance.
Director Reade gave the Invocation.

ATTORNEY'S REPORTS
ATTORNEY'S AGREEMENT
After reviewing the contract, Mr. Hamers recommended accepting the attorney's
agreement. General discussion was held. Director Perry motioned to approve the
attorney's agreement in concept subject to Mr. June finalizing minor points of the
agreement with new attorney Alan Burns. Director Reade seconded. Motion carries 4 -0.
ISDOC UPDATE ON TREASURER'S POOL
Ms. Temple reports that monies due from assessment, minus the portion collected from
November 19 to December 6, was to be made available Friday, December 23. The Costa
Mesa Sanitary District will be given $1.2 million and that $431,000 will be withheld.
Tom Coleman, attorney for the City of Costa Mesa and the Costa Mesa Sanitary District
is planning a class action to get the remaining assessments. An additional 20% of the
assessment is due on Wednesday, December 28, approximately $1.2 or $1.6 million. In
January and February, small amounts will come in. In April, two additional payments of
20% of the total are due with the remainder to be paid in small amounts throughout the

rest of the year. Ms. Temple received an audited copy of the CAFR which categorizes the
pool's money and the trust fund. This was turned over to Tom Coleman. Ms. Temple is
filling out a SEC questionnaire to be reviewed by Tom Coleman before mailing to the
SEC. Ms. Temple will notify Mr. Flamers of any events and Mr. Hamers will notify the
Board. A study session will be held on January 9, 1995, to further discuss the treasurer's
pool and the District's investment policy.
