Contract - JIMNI - 2013-08-09 FIRST AMENDMENT TO AGREEMENT
BETWEEN COSTA MESA SANITARY DISTRICT AND JIMNI SYSTEMS INC
FOR PUMP STATION MAINTENANCE SERVICES
FIRST AMENDMENT to Agreement between the Costa Mesa Sanitary District and JIMNI Systems,
I c. for pump station maintenance ("AGREEMENT") is made and entered into this day of
, 2013, by and between the Costa Mesa Sanitary District, hereinafter referred to as
DIST CT, and JIMNI Systems, Inc., hereinafter referred to as CONTRACTOR.
WITNESSETH:
WHEREAS, on June 3, 2013, the DISTRICT and CONTRACTOR entered into AGREEMENT for pump
station maintenance; and
WHEREAS,the term of the AGREEMENT expired on August 3, 2013; and
WHEREAS, the DISTRICT desires to extend the term of the AGREEMENT to end on August 18,
2013; and
WHEREAS, the DISTRICT and CONTRACTOR now desire to amend the AGREEMENT by extending
the term and increasing the compensation for services rendered.
NOW,THEREFORE,the parties hereto agree as follows:
1. Section 1 in the AGREEMENT shall be extended to end on August 18, 2013.
2. Section 5(a) in the AGREEMENT shall be deleted in its entirely and replaced with the
following:
"The District agrees to pay CONTRACTOR up to thirty-eight thousand two hundred thirty
dollars ($38,230) for services rendered in accordance with this AGREEMENT. This amount shall
not exceed the total sum during term of the AGREEMENT unless additional payment is approved
as provided in this AGREEMENT. Said sum includes travel and other costs."
2. The term of this FIRST AMENDMENT shall become effective upon its adoption.
3. Except as specifically amended by the terms of this FIRST AMENDMENT, all provisions of
the original AGREEMENT shall remain in full force and effect.
