FOR SUPERVISORY CONTROL AND DATA ACQUISITION (SCADA)
JIMNI Systems, Inc.
This First Amendment ( "FIRST AMENDMENT ") to the July 23, 2012
Agreement between the Costa. Mesa. Sanitary District and JIMNI Systems, Inc.
for replacing :and monitoring; the SCADA system (''AGREEMENT ") is made and
entered into this 2 ()ib- day of Q l 2012, by and between the Costa
Mesa Sanitary District, hereinafter referred to as DISTRICT; and JIMNI 'Systems;
Inc., hereinafter referred to as CONTRACTOR.
Recitals
WHEREAS, on July 23, 201.2 the DISTRICT and CONTRACTOR entered
into AGREEMENT for replacing and monitoring the DISTRICT'S ,SCADA system;
and
'WHEREAS, the. DISTRICT desires to have CONTRACTOR be the first
responder to pump station emergencies occurring after regular business hours,
weekends and holidays; and
WHEREAS, the CONTRACTOR has submitted. its rate schedule for
emergency call outs; and
WHEREAS, the.DISTRICT and CONTRACTOR now desire to amend the
AGREEMENT to change the scope of work and increase CONSULTANT'S
compensation for services rendered.
NOW, THEREFORE, the parties hereto agree as follows:
1. Section 5 in the AGREEMENT shall be amended by adding the following
subsection:
"(e) DISTRICT agrees to' pay CONTRACTOR the hourly rate stipulated in
Exhibit "A" attached to the FIRST AMENDMENT for emergency "call outs."'
2. The term of this FIRST AMENDMENT shall become effective upon its
adoption.
3. Except as specifically amended by the terms of this FIRST AMENDMENT,
all provisions of the AGREEMENT shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this FIRST
AMENDMENT to be executed this day and year first above written.
