(EEC). One agreement is for supporting the District's Geographical Information System (GIS) and a Computerized Maintenance Management System (CMMS), while the other agreement is for enforcing the District's Fats, Oil and Grease (FOG) program for food service establishments. The agreement for supporting the District's GIS and CMMS needs to be amended to allocate funds to continue with the support services. Staff Recommendation That the Board of Directors approves the Second Amendment with EEC for GIS and CMMS support services. Analysis The District does not have the staff or resources to support the GIS or the CMMS. In contrast, EEC has on staff five GIS professionals that are trained and experienced in GIS and CMMS. EEC has submitted a proposal to support the District utilizing GIS and CMMS on an as needed basis and for requested work that is not identified in the original agreement. Strategic Plan Element & Goal This item complies with the objective and strategy of Strategic Element 5.0, Administrative Management, which states: "Objective: To create, maintain and implement policies and procedures to ensure sound management of the District." " Legal Review The Associate District Counsel has reviewed and approved the second amendment. Financial Review It will cost the District $20,000 annually for EEC to provide GIS and CMMS support services. Committee Recommendation Not applicable. Public Notice Process Copies of this report are on file and will be included with the entire agenda packet for the August 20, 2012 Board of Directors meeting at District Headquarters and on District website. Alternative Actions 1. Do not approve the second amendment and direct staff for more information. Attachment A: Second Amendment SECOND AMENDMENT TO AGREEMENT BETWEEN COSTA MESA SANITARY DISTRICT AND ENVIRONMENTAL ENGINEERING AND CONTRACTING INC FOR CONSULTANT SERVICES GIS /CMMS SECOND AMENDMENT to Agreement between the Costa Mesa Sanitary District and Environmental Engineering and Contracting, Inc. for GIS and CMMS Consulting Services is made and entered into this day of , 2012, by and between the Costa Mesa Sanitary District, hereinafter referred to as DISTRICT, and Environmental Engineering and Contracting, Inc., hereinafter referred to as CONSULTANT. WITNESSETH: WHEREAS, on October 26, 2009, the DISTRICT and CONSULTANT entered into AGREEMENT for developing and implementing a Geographical Information System (GIS) and a Computerized Maintenance Management System (CMMS); and WHEREAS, on November 30, 2011, the DISTRICT and CONSULTANT executed the FIRST AMENDMENT to AGREEMENT for operation and utilization services and for GIS Alignment to Centerline; and WHEREAS, the CONSULTANT has completed the GIS Alignment to Centerline and funding for operation and utilization services has been expended; and WHEREAS, the DISTRICT desires the CONSULTANT to continue providing operation and utilization services for another year. NOW, THEREFORE, the parties hereto agree as follows: 1. Section 5, subsection "a" in the AGREEMENT shall be amended by increasing the payment due thereunder to compensate for supporting needs of the DISTRICT's GIS and CMMS. 2. The DISTRICT agrees to pay CONSULTANT the sum of $20,000 for an additional year of operation and utilization services. 3. Except as specifically amended by the terms of this SECOND AMENDMENT, all provisions of the AGREEMENT shall remain in full force and effect.
