Contract - ORCO - 1977-01-25 in
ASSIGNMENT OF CONTRACT
FOR VALUABLE CONSIDERATION receipt of which is here-
by acknowledged _he undersigned ORCO DISPOSAL SERVICE
INC a California corporation ( ORCO ) hereby assigns to
JAYCOX DISPOSAL SERVICE OF COSTA MESA INC a California
corporation ( JAYCOX' ) all of its right title and interest
in and to that certain Contract dated April 3 1974 as
amended on August 7 1974 and on December 3 1975 by
and between ORCO and COSTA MESA SANITARY DISTRICT OF ORANGE
COUNTY ( DISTRICT' ) relating to the furnishing of all labor
• material and equipment necessary for the collection of gar-
bage within the boundaries of the DISTRICT
This Assignment shall be effective as of February 1
1977 provided that on or before such date JAYCOX exe-
cutes the Assumption Agreement set forth hereinbelow and
delivers a fully executed copy thereof to the DISTRICT and
to ORCO

ASSUMPTION AGREEMENT
FOR VALUABLE CONSIDERATION including without limitation

the assignment by ORCO DISPOSAL SERVICE INC a Califor-
nia corporation ( ORCO ) of all its right title and in-
terest in and to that certain Contract described in the
foregoing Assignment of Contract to the undersigned
JAYCOX DISPOSAL SERVICE OF COSTA MESA INC a California
corporation ( JAYCOX ) hereby agrees to assume and perform
all of ORCO s duties obligations covenants and agree-
ments under the Contract and to observe all conditions
and other terms in said Contract JAYCOX further agrees
that this Assumption Agreement is for the benefit of COSTA
MESA SANITARY DISTRICT OF ORANGE COUNTY and that it shall
furnish to the District no later than February 1 1977 a
Faithfull Performance Bond in the sum of Twenty Thousand
Dollars ($20 000 00) pursuant to paragraph XIV of the Con-
tract

INDEMNIFICATION AGREEMENT
ORCO DISPOSAL SERVICE INC a California corporation
( 'ORCO ) and JOHN H LINDLEY hereby agree to indemnify and
hold harmless the COSTA MESA SANITARY DISTRICT OF ORANGE
COUNTY ( DISTRICT ) its officers and its employees from
® any and all liability including any attorneys ' fees ex-
pended on the part of the DISTRICT resulting from the

negligent operation of ORCO in the performance of its work
prior to February 1 1977 under the Contract described
in the foregoing Assignment of Contract

CONSENT OF COSTA MESA SANITARY DISTRICT
OF ORANGE COUNTY
COSTA MESA SANITARY DISTRICT OF ORANGE COUNTY ( DIS-
TRICT' ) as a party to that certain Contract described
in the foregoing Assignment of Contract hereby consents
to the assignment of the Contract to JAYCOX DISPOSAL SER-
VICE OF COSTA MESA INC
Recognizing that ORCO DISPOSAL SERVICE INC will be
liquidated and dissolved within the near future the DIS-
TRICT further consents and agrees to the assumption by
JOHN H LINDLEY of all obligations of ORCO DISPOSAL SERVICE

INC under the foregoing Indemnification Agreement
The DISTRICT further agrees upon the execution of the
foregoing Assumption Agreement by JAYCOX DISPOSAL SERVICE OF
COSTA MESA INC to deliver to ORCO DISPOSAL SERVICE INC
that certain Citizens Bank of Costa Mesa Certificate of
Deposit maturity date July 30 1977 C-204 payable to
ORCO DISPOSAL SERVICE INC AND COSTA MESA SANITATION DIS-
TRICT or order fully endorsed by the DISTRICT to the order
of ORCO DISPOSAL SERVICE INC
