F I R S T A D D E N D U M
THIS AGREEMENT made and entered into this 7th day
of Minus 1. 1974 by and between the COSTA MESA SANITARY
DISTRICT OF ORANGE COUNTY CALIFORNIA hereinafter referred
to as DISTRICT and ORCO DISPOSAL SERVICE INC a corpora-
tion hereinafter called CONTRACTOR
W I T N E S S E T H T H A T
WHEREAS the parties hereto entered into an agreement
on the 3rd day of April, 1974 providing for the pick-up and
disposal of trash within the District and
WHEREAS the parties hereto desire to amend said con-
tract in certain particulars and
WHEREAS the parties hereto desire to set forth their
rights and liabilities in connection therewith
NOW THEREFORE for and in consideration of the cov-
enants contained herein performed and to be performed the
parties hereto agree as follows

Paragraph II entitled TERMS of the agreement of
April 3 1974 is hereby amended to read as follows
II TERMS The term of this contract shall
be from the date hereof to July 1 1979
Contractor shall have the option to extend this
contract for an additional period of five ( 5)
years from and after the termination hereof

provided it be not in default and at terms and
conditions to be negotiated upon the exercise of
said option Said option shall be exercised in
writing not less than six ( 6) months prior to the
termination date hereof and said extension shall
not be effective upon the termination date set
forth herein if Contractor be in default or it the
parties hereto cannot agree upon terms and
conditions

Section IV of the Agreement of April 3 1974 is
hereby amended to read as follows
IV FORMULA FOR COMPENSATION CALCULATION.
The basic rate set forth in paragraph III of
this amendment shall prevail for one ( 1) year
and three ( 3) months from the date hereof
Thereafter said rate shall be increased or de-
creased by a percentage which is equal to the
percentage increase or decrease in the Consumer
Price Index for the Los Angeles/Long Beach area
the group entitled All Items as published by the
U S Department of Labor Bureau of Labor Statis-
tics from the month of May in the previous year
to the month of May in the current year The
effective date of this rate increase or decrease
shall be July 1 of each year Each increase or
decrease of basic occupancy rate occurring as a
result of this method of determining said rate
shall be deemed a new Tasic rate for the purposes
of calculation for subsequent years in the term
of this contract
III
Except as herein provided said contract of April 3
1974 shall in all other particulars remain in full force and
effect and binding upon the parties hereto
