Dear Mr Mattern
In reference to our recent telephone conversation approval is hereby re-
quested to assign our contract between the Costa Mesa Sanitary District
and Orco Disposal Inc to Jaycox Disposal Company Inc effective
October 1 1983
Orco Disposal Inc is a wholly-owned subsidiary of Jaycox Disposal
Company Inc Our legal and financial advisors recommend that the two
companies be consolidated This recommendation has been made to facilitate
our financial reporting and also establish a common fiscal year for the
two corporations Having different fiscal periods has resulted in some
questions from the financial institutions with which we do business
Jaycox Disposal Company Inc is and will continue to be owned by
Raul Rangel This change will have no effect on the service rendered
under the terms of our agreement Orco Disposal Inc will retain its
separate identity but will be an operating division of Jaycox Disposal
Company Inc rather than a separate corporation
