FIRST AMENDMENT TO AGREEMENT
BETWEEN COSTA MESA SANITARY DISTRICT AND BHI MANAGEMENT CONSULTING
FOR CONSULTANT SERVICES
FIRST AMENDMENT to Agreement between the Costa Mesa Sanitary District and BHI
Management Consulting for he preparation of a Strategic Plan ("AGREEMENT") is made and entered
into this 1'-f*6day of , 2010, by and between the Costa Mesa Sanitary District,
hereinafter referred to as ISTRICT, and BHI Management Consulting, hereinafter referred to as
CONSULTANT.
W ITN ESSETH:
WHEREAS, on February 26, 2009, the DISTRICT and CONSULTANT entered into AGREEMENT for
the preparation of an integrated two to three year Strategic Plan with five year goals; and
WHEREAS, on April 1, 2009 the DISTRICT advised CONSULTANT to suspend work on the Strategic
Plan until the DISTRICT can successfully recruit a new General Manager position; and
WHEREAS, on January 4, 2010 the DISTRICT'S new General Manager began employment with
the DISTRICT; and
WHEREAS, the DISTRICT and CONSULTANT now desire to commence work on the Strategic Plan
and amend the ORIGINAL AGREEMENT to gather additional information and conduct another workshop.
NOW,THEREFORE, the parties hereto agree as follows:
1. The tasks identified in the ORIGINAL AGREEMENT shall be amended to include the tasks
identified in Exhibit A, attached hereto.
2. CONSULTANT will be compensated an additional three thousand five hundred dollars
($3,500)for the services rendered in Exhibit A.
3. The term of this First Amendment shall become effective upon its adoption.
4. Except as specifically amended by the terms of this First Amendment, all provisions of
the ORIGINAL AGREEMENT shall remain in full force and effect.

Subject: Amendments to Strategic Planning agreement with BHI Management
Consulting
Dear Scott,
This letter outlines the need to amend the professional services agreement (July 13, 2009)
that BHI Management Consulting has with the District for Strategic Planning. These
amendments deal with two areas outlined below namely additional strategic plan work
and an additional item described as the Development of Goals and Objectives for the
General Manager. The scope and cost of these proposed amendments are detailed below.
Strategic Plan - As you know the District had begun a Strategic Plan late last Spring.
That effort got delayed as the District worked through some issues and as they sought a
new General manager. There have been a sufficient number of District-wide changes that
some of what was accomplished before is now obsolete or has substantially varied. In
order to best complete a relevant strategic plan for the District I recommend that some of
the work be redone. That work will include meeting with each Directors on an individual
basis and again with District staff. The additional cost of this work is estimated to be
$6000.
GM Goals and Objectives—Goals and objectives for you, the general manager, is quite
important in the first year in order for the Board to provide you with a proper
performance evaluation next year at your employment anniversary date. The matter of
developing these was discussed between the Board and the interim GM earlier when they
were finishing your contract. It was decided that integrating these with the strategic
planning work would work well. As such, I will work with both you and the Board
collectively to develop a set of measurable goals and objectives for the coming year to
evaluate at your anniversary next year. The cost of this work is estimated to be $3500.
Since we have had a discussion about starting this work in January, it is important that
the agreement be amended as soon as possible to allow for the work to be completed in
support of the schedule. Please do not hesitate to contact me about any aspect of this
proposed amendment.
