BETWEEN COSTA MESA SANITARY DISTRICT AND
T&M ASSOCIATES CONSULTING ENGINEERS FOR ELDEN, HARBOR, IRVINE,
AND SANTA ANA SHORT CIRCUIT COORDINATION STUDY AND ARC-FLASH
ANALYSIS
This Second AMENDMENT to Agreement between the Costa Mesa Sanitary
District and T&M Associates Consulting for Consulting engineering services for the
Elden, Harbor, Irvine, and Santa Ana Short Circuit Coordination Study and Arc-Flash
Analysis (“SECOND AMENDMENT”) is made and entered into this 7th day of August,
2023, by and between the Costa Mesa Sanitary District, hereinafter referred to as
DISTRICT, and T&M Associates Consulting Engineers hereinafter referred to as
CONSULTANT.
WITNESSETH:
WHEREAS, on July 22, 2022, the DISTRICT and CONSULTANT entered into an
agreement for conducting an electrical coordination study and arc flash analysis (Study)
at four District pump stations (“AGREEMENT”); and
WHEREAS, the CONSULTANT performed detailed analysis and calculations as
part of the Study and made detailed recommendations regarding electrical deficiencies
that were found during the field work at the Harbor and Irvine pump stations that must
be urgently addressed. In addition, and as a result of the Study, the CONSULTANT has
detailed knowledge that provides the CONSULTANT the knowledge for effectively
completing the design in an expeditious manner.
WHEREAS, the DISTRICT determined that the desired new utility meter and
main location is not practical because of a lack of available easement. The District now
proposes the new utility meter and main be installed on a new pedestal within public
right-of-way about 15 feet away from the existing pump station panel and requested the
CONSULTANT proposal for designing the new utility meter and main at the new
location; and
WHEREAS, the DISTRICT desires the CONSULTANT to continue providing
professional engineering services associated with designing electrical repair designs for
Harbor and Irvine pump stations that resulted from the Study and for which the
Consultant has detailed knowledge and that the CONSULTANT has submitted a
technical and fee proposal for said services, which is attached hereto as Exhibit “A”; and

WHEREAS, the DISTRICT finds it in the public’s best interest to extend the
term(s) of the AGREEMENT and have the CONSULTANT perform the additional
professional engineering services due to the arc flash and coordination work, along with
the resulting knowledge of the station’s electrical systems and layouts, and therefore
waived bidding procedures in accordance with DISTRICT Operations Code Section
4.04.120(f).
NOW, THEREFORE, the parties hereto AGREE as follows:
1. The AGREEMENT is hereby extended on August 21, 2023, and shall
remain in effect until tasks described herein are completed as outlined in the
CONSULTANT’S proposal, dated June 23, 2023, unless sooner terminated pursuant to
the provisions of the AGREEMENT. The second work addendum generally consists of:
A. Redesign the new meter and main disconnect on a pedestal within public
right-of-way at a location specified by the DISTRICT.
B. Coordinate the new meter and main location with the local utility company
(So Cal Edison)
C. Includes additional meetings, as specified in CONSULTANT’s proposal.
2. Section 2, Contract Sum, in the AGREEMENT shall be amended by
increasing payment to compensate for continuing to provide electrical repair and
replacement professional engineering services as identified in CONSULTANT’s
proposals (Exhibits “A”).
3. The DISTRICT agrees to pay CONSULTANT the Change Order #2
additional sum of Five Thousand, Four Hundred, and Sixty-Four Dollars ($5,464.00), for
a total change order amount of Twelve Thousand, Eight Hundred, and Eighty-Eight
Dollars ($12,886).
4. Except for the extension of the term of the AGREEMENT, the changes
and additions to the scope of work, and compensation set forth in Exhibit A, all
provisions of the AGREEMENT shall remain in full force and effect. The Agreement
shall prevail over any provisions in Exhibit A that are inconsistent therewith.

IN WITNESS WHEREOF, the parties hereto have caused this FIRST
AMENDMENT to be executed this day and year first above written.
