Agreement - C&R Drains, Inc. - 2021-09-30 FIRST AMENDMENT TO AGREEMENT
FOR AFTER HOURS EMERGENCY SEWER SERVICES
C&R Drains, Inc.
This FIRST AMENDMENT to Agreement between the Costa Mesa Sanitary
District ("DISTRICT") and C&R Drains, Inc., ("CONTRACTOR") for afterhours
emergency sewer services is made and entered into this 30 day of September,
2021, but this amendment is retroactive to July 1, 2021.
WITNESSETH:
WHEREAS, on February 7, 2019, the DISTRICT and CONTRACTOR entered
into an agreement for afterhours emergency sewer services; and
WHEREAS, the term of the Agreement expires on June 30, 2021, but the
DISTRICT has the option to extend the Agreement with two (2) one-year extension; and
WHEREAS, the DISTRICT desired to extend the Agreement, but did not submit
an extension request to CONTRACTOR at least sixty (60) days prior to the end of the
Original Term; and
WHEREAS, CONTRACTOR continued providing DISTRICT with after hours
emergency sewer services after June 30, 2021; and
WHEREAS, CONTRACTOR desires to adjust their fee schedule; and
WHEREAS, the DISTRICT desires to extend the term of the Agreement to be
retroactive to July 1, 2021; and
NOW, THEREFORE, the parties hereto AGREE as follows:
1. The Agreement is hereby extended for additional one year expiring on
June 30, 2022.
2. This First Amendment is retroactive to July 1 , 2021.
3. DISTRICT, agrees to pay CONTRACTOR the fee schedule described
Exhibit "A" attached hereto and incorporated herein by reference. The fee schedule will
into effect on the date this amendment to Agreement was entered.

4. Except for the extension of the term of the Agreement all provisions of the
original Agreement shall remain in full force and effect.

First Amendment to Agreement (After Hours Emergency Sewer Services)
Exhibit A
Hourly rate (two men and jetter): $680.00 First hour minimum charge / $300.00 for each
additional '/2 hour.
Charges will start from the time the jetter is being pulled out of the shop until it is
returned to the shop.
Hourly rate for an additional man $300.00 per hour
Answering Services $200.00 per month
Rates are for 24-hour service around the clock Sunday — Sunday
All materials and equipment are at additional cost if needed. All information is
confidential. All information regarding C & R Drains, Inc. employee's is confidential and
not to be used for purposes for hire. No C & R Drains, Inc. employees are to be
solicited for hire.
Prices subjected to change once a year due to the increase cost of doing business.
Contractor will submit proposed increase in cost at least 60 calendars days in advance.
