Contract - Lan Wan Enterprises - 2021-07-01 FIFTH AMENDMENT TO AGREEMENT
BETWEEN COSTA MESA SANITARY DISTRICT AND LAN WAN ENTERPRISES
This FIFTH AMENDMENT to the Agreement between the Costa Mesa Sanitary
District and Lan Wan Enterprises for comprehensive information technology
management services ("AGREEMENT") is made and entered into this 1st day of July 2021,
by and between the Costa Mesa Sanitary District, hereinafter referred to as DISTRICT, and
Lan Wan Enterprises, hereinafter referred to as CONSULTANT.
WITNESSETH:
WHEREAS, on July 1, 2015, the DISTRICT and CONSULTANT entered into an
AGREEMENT for comprehensive information technology management services by the
CONSULTANT; and
WHEREAS, the AGREEMENT was extended by a First Amendment to Agreement
and services were provided pursuant to that First Amendment which expired on June 30,
2018; and
WHEREAS, the AGREEMENT was extended by a Second Amendment to Agreement
and services were provided pursuant to that Second Amendment which expired on June
30, 2019; and
WHEREAS, the AGREEMENT was extended by a Third Amendment to Agreement
and services were provided pursuant to that Third Amendment which expired on June 30,
2020; and
WHEREAS, the AGREEMENT was extended by a Fourth Amendment to Agreement
and services were provided pursuant to that Fourth Amendment which expired on June
30, 2021; and
WHEREAS, the DISTRICT and CONSULTANT desire to extend the AGREEMENT for
a period of transition from July 1, 2021 to August 31, 2021 and recognize and authorize
payment for services provided hereinafter.
NOW, THEREFORE, the AGREEMENT is amended as of July 1, 2021 as follows:
1. The AGREEMENT is extended to and shall remain and continue in effect until
a subsequent Consultant can take over the duties described in the
Agreement and shall terminate on August 31, 2021, unless sooner
terminated pursuant to the provisions of the AGREEMENT.
2. The other provisions of the AGREEMENT are reaffirmed as originally stated
and amended as described above, and to specifically include the changes
made in the First Amendment.
IN WITNESS WHEREOF, the parties hereto have caused this Fifth Amendment to
be executed this day and year first above written.
