Contract - Lan Wan Enterprises - 2018-02-16 FIRST AMENDMENT TO AGREEMENT
BETWEEN COSTA MESA SANITARY DISTRICT AND LAN WAN ENTERPRISES
This FIRST AMENDMENT to Agreement between the Costa Mesa Sanitary District and Lan Wan
Enterprises for comprehensive information technology management services ("AGREEMENT") is made
and entered into this day of February 2018, by and between the Costa Mesa Sanitary District,
hereinafter referred to as DISTRICT,and Lan Wan Enterprises, hereinafter referred to as CONSULTANT.
WITNESSETH:
WHEREAS, on July 1, 2015, the DISTRICT and CONSULTANT entered into an AGREEMENT for
comprehensive information technology management services by the CONSULTANT;and
WHEREAS,the AGREEMENT expired on June 30, 2017;and
WHEREAS, CONSULTANT has continued to provide services since June 30, 2018 and DISTRICT
was in need of those services;and
WHEREAS,the DISTRICT and CONSULTANT desire to extend the AGREEMENT another year from
July 1, 2017 to June 30, 2018 and recognize and authorize payment for services previously rendered as
provided hereinafter.
NOW,THEREFORE,the AGREEMENT is amended as of July 1,2017 as follows:
1. The AGREEMENT is extended to, and shall remain and continue in effect until the tasks
described herein are completed and shall terminate on June 30, 2018, unless sooner
terminated pursuant to the provisions of the AGREEMENT.
2. Section 16 of the AGREEMENT is hereby amended to read as follows:
"16. NOTICES. Any notices which either party may desire to give to the other party
under this AGREEMENT must be in writing and may be given by: (i) personal service, (ii)
delivery by a reputable document delivery service, such as, but not limited to, Federal
Express, which provides a receipt showing date and time of delivery, or (iii) mailing in
the United States Mail, certified mail, postage prepaid, return receipt requested,
addressed to the address of the party as set forth below or at any other address as that
party may later designate by notice:

3. Sections 3,3A,and 6 of Exhibit A of the AGREEMENT are hereby amended to reflect that
the DISTRICT moved its headquarters location from 628 W. 19th Street,Costa Mesa, CA
92627 to 290 Paularino Avenue,Costa Mesa,CA 92626 on November 14, 2016.
4. The other provisions of the AGREEMENT are reaffirmed as originally stated.
