Contract - Davis Farr LLP - 2017-11-30 FIRST AMENDMENT TO AGREEMENT
FOR CONSULTING SERVICES

This First Amendment to Agreement is made and effective as of November_,
2017, and retroactive as of July 1, 2017 between the Costa Mesa Sanitary District, a
sanitary district ("DISTRICT"), and Davis Farr LLP, a limited liability partnership
("CONSULTANT"). In consideration of the mutual covenants and conditions set forth
herein, the parties agree as follows:
Recitals
WHEREAS, on June 1, 2015 the DISTRICT and CONSULTANT entered into an
Agreement for Treasurer and other financial services; and
WHEREAS, on April 17, 2017 CONSULTANT submitted a request for hourly rate
increases for the services to be rendered; and
WHEREAS, the CONSULTANT's request was approved during the Fiscal Year
2017-18 & 2018-19 adopted budget cycle; and
WHEREAS, on October 25, 2017, the DISTRICT Board of Directors officially
approved CONSULTANT'S request for an hourly rate increase; and
WHEREAS, the hourly rate increase will be retroactive as of July 1, 2017; and
WHEREAS, the DISTRICT and CONSULTANT now desire to amend the
Agreement to increase CONSULTANT'S hourly rates for Treasurer and other financial
services.
NOW, THEREFORE, the parties hereto agree as follows:
1. Section 5(a) is hereby removed and replaced with the following:
"DISTRICT agrees to pay CONSULTANT for providing District Treasurer and, on
occasion, other financial services at the following hourly rates. These hourly
rates are inclusive of travel to District facilities.

2. The term of the First Amendment shall become retroactive and effective on July
1, 2017.
3. Except as specifically amended by the terms of this First Agreement, all
provisions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this First Amendment
to be executed this day and year first above written.
