PROFESSIONAL SERVICES AGREEMENT
(CBIZ MHM, LLC)
This SECOND AMENDMENT to Agreement for finance services is made and
entered into this 2nd day of March, 2015, by and between the Costa Mesa Sanitary
District, hereinafter referred to as "DISTRICT," and CBIZ MHM, LLC, hereinafter
referred to as "CONTRACTOR."
WITNESSETH
WHEREAS, on January 17, 2007, the DISTRICT and CONTRACTOR (previously
CBIZ Accounting, Tax and Advisory of Orange County, LLC) entered into an agreement
for District Treasurer services ("AGREEMENT") by which CONTRACTOR continues to
provide District Treasurer services; and
Whereas, that agreement was amended (First Amendment Professional Services
Agreement) on Dec 5, 2013 to provide that Wendy Davis would provide services
through CONTRACTOR as interim Finance Manager; and
Whereas, the services described in that First Amendment Professional Services
Agreement were terminated by Wendy Davis being hired as District's permanent
Finance Director as an employee; and
Whereas, the parties desire to recognize that change in duties; and
WHEREAS, CONTRACTOR'S hourly rates have been in effect since July 2006;
and
WHEREAS, CONTRACTOR has requested an increase in its hourly rates at the
DISTRICT Board of Directors meeting of February 26, 2015; and
WHEREAS, the DISTRICT approved the request for increase in hourly rates of
the CONTRACTOR at its meeting of February 26, 2015; and
Whereas, CONTRACTOR has different personnel performing services pursuant
to this Amendment than in the original Agreement and desires to reflect those changes
in personnel herein.
NOW, THEREFORE, the parties hereto agree as follows:
1. The AGREEMENT is hereby amended by deleting the table of hourly rates
in Section 4 in its entirety and replacing with the following:

All other language in Section 4 remains unchanged.
2. The terms of this SECOND AMENDMENT shall become effective on March 1,
2015.
3. Except as specifically amended by the terms of this SECOND AMENDMENT, all
provisions of the AGREEMENT shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this SECOND
AMENDMENT to be executed this day and year first above written.
