Burns Harper & Burns LLP 453 Glassell Street Orange, CA 92866 Re: Acquisition of Government Outreach; Assumption of Rights and Responsibilities Dear Mr. Burns, The purpose of this letter is to clarify and confirm Accela, Inc.'s ( "Accela ") recent acquisition of Government Outreach, with which the Costa Mesa Sanitary District has a Contract dated September 24, 2013 (the "Contract"). Accela is a California corporation headquartered in San Ramon, California. Effective October 10, 2014 (the "Effective Date "), Government Outreach was acquired by Accela. On the Effective Date, Accela assumed all of the terms, conditions, and duties, as well as invoicing and collection functions of the Contract, together with any associated agreements and amendments thereto. As you may be aware, Accela's Civic Platform, of which the Government Outreach product is now a part, enables thousands of services and millions of transactions for more than 800 public agencies worldwide, helping governments to connect with citizens and streamline critical agency functions. Government Outreach's core team has continued with Accela and its products GoRequest, Graffiti Tracking, GoWork, GoEnforce, and their add -on modules, are offered under the Accela name and will continue to be supported by Accela.
