MINUTES
COSTA MESA SANITARY DISTRICT
November 21, 1994
The Board of Directors of the Costa Mesa Sanitary District convened at noon,
November 21, 1994 at its regular meeting place on the first floor of the Costa Mesa
City Hall at 77 Fair Drive, Costa Mesa, California.
Present were Nate Reade, Mike Scheafer, Jim Wahner, Jim Ferryman and Arthur
Perry. Roy E. June, General Counsel, was also present. Also present was yet -to-
be-swornin Electee Arlene Schafer. Absent was yet- to -be- sworn-in Electee Dan
Worthington.
The meeting was opened by President Jim Wahner and the reading of the min-
utes of the previous meeting, the invocation and the pledge of allegiance were
waived. At this point the Board went into executive session at 12:05 P.M. for the
purpose of interviewing candidates for the job of General Counsel for the District.
The first interviewee was John McClendon, Attorney at Law. He was followed
by John Cavanaugh who was accompanied by Tom Woodruff of his firm. The third
candidate was Terry Dixon and the fourth candidate was Tom Wood accompanied by
members of his firm, Rufus Young, Jr. and Jerry Patterson. Each candidate was
questioned by members of the Board as to background, interests, qualifications,
past experience and other matters pertinent to the position.
At 2:00 P.M. on November 21, 1994 the Board resumed open meeting and an-
nounced that the interviews for this meeting had been completed and that no action
had been taken, additional interviews being set for Tuesday, November 22, 1994.
The closed session held by the District was held pursuant to Section 54957,
•Government Code, the results of which were reported in open meeting pursuant to
Section 54957.1, Govenment Code.
After discussion it was moved, seconded and carried that the meeting adjourn
to November 22, 1994 at the hour of 12:00 noon for further consideration of candi-
dates for the position of General Counsel for the District.
Board members were advised that complimentary lunch would be served to them
at 11:30 A.M. on November 22nd.

Morningstar _from Behrens office, Bill Mahoney, and Robert Hawkins and Michelle
Staples standing in for Susan M. Tager who was engaged in depositions in Los
Angeles. Each candidate was questioned by members of the Board as to background,
interests, qualifications, past experience and other matter pertinent to the posi-
tion. At 1 :45 P.M. on November 22, 1994 the Board resumed open meeting and an-
nounced that interviews for this meeting had been completed and that no action had
been taken. Further discussion was to take place regarding prospective candidates
on Monday, November 28, 1994.
The closed session held by the District as held pursuant to Section 54957,
Government Code, and the results of which were reported in open meeting pursuant to
• Section 54957.1, Government Code.
After discussion it was moved, seconded and carried that the meeting adjourn
to November 28th at the hour of 12:00 noon for further consideration of the posi-
tion of General Counsel for the District.

November 28, 1994
The Board of Directors of the Costa Mesa Sanitary District convened at 11:30
A.M. on November 28, 1994 at its regular meeting place on the first floor of the
Costa Mesa City Hall at 77 Fair Drive, Costa Mesa, California.
Present were Nate Reade, Mike Scheafer, Jim Wahner, Jim Ferryman. and Arthur
Perry. Roy E. June, General Counsel for the District, was also present. Also
present was yet- to -be- sworn -in Electee Arlene Schafer.
The meeting was opened by President Jim Wahner and the reading of the minutes
of the previous meeting and the invocation and pledge of allegiance were waived. At
this point the Board went into executive session at 11:35 A.M. for the purpose of
appointing an attorney as General Counsel for the District to replace the present
General Counsel who was retiring. After discussion it was moved by Ferrymand and
seconded by Reade that Alan Burns be appointed and that he be retained under con-
tract for a period of one year with a review at the end of six months. At the end
of six months, if the review was satisfactory, Burns was then to serve at the plea-
sure of the Board.
Further discussion took place with respect to the services of the outgoing
General Counsel and after discussion, it was moved, seconded and carried that June
be further employed on a when -as- and -if- needed on an hourly basis.
At 11 :45 A.M. on November 28, 1994, the Board resumed open meeting and an-
nounced the appointment of Alan Burns as General Counsel for the District effective
January 2, 1995 with his employment to be by contract with a six -month provision for
review and if the review was satisfactory, Burns was then to serve at the pleasure
of the Board. It was announced that the further action that was taken was for the
outgoing Counsel to be available on a when -as- and -if- needed basis and to be paid an
hourly rate for his services as performed.
The closed.session held by the District was-held pursuant to Section 54957,
Government Code, and the results of which were reported in open meeting pursuant to
Section 54957.1, GOvernment Code.
After discussion it was moved, seconded and carried that the meeting adjourn.
