WASHING DISCHARGES TO DISTRICT MANHOLES
THIS AGREEMENT is made and entered into this /'I f ,day of___;f,A
2004 by and between the Costa Mesa Sanitary District, a California sani ry strict
established pursuant to Health and Safety Code Section 6400 et seq. (hereinafter
'District"), and South Coast Plaza, a partnership (hereinafter 'SCP"), with reference to
the following facts:
Recitals
WHEREAS, various federal, state and local laws prohibit the discharge of
polluted water to storm drains which may flow untreated,to the ocean; and
WHEREAS, connections to District's sewer system require a permit whereby the
nature of the discharge is identified and approved before such discharge occurs; and
WHEREAS, SCP desires to power wash and otherwise clean concrete surfaces
and desires to discharge the water used in these clean up operations, after the same has
been filtered, into District's sewer system, and
WHEREAS, the District normally requires filtered wash down water to be
discharged into a private property cleanout or private property manhole but the private
property manholes on the SCP property are either too distant from the various wash down
areas or are upstream of the District South Coast Plaza Pumping Station; and
WHEREAS, there are various District sewer manholes in District easements
located in the vicinity of the wash down areas that SCP desires to use as discharge points;
and
WHEREAS, the District issued a Special Sewer Discharge Permit dated March
17 2003 that allows SCP to discharge filtered wash down water into the sewer system
under certain conditions; and
WHEREAS, one of these conditions was that SCP would enter into a hold
harmless agreement indemnifying the District from any and all liability arising from
allowing SCP to discharge to District manholes; and
WHEREAS, District agrees that SCP may discharge said wash down water to
District manholes provided this Hold Harmless Agreement is entered into by the parties;
NOW THEREFORE, in consideration of the above, the parties hereto do agree as
follows:
1 SCP shall utilize the four (4) District sewer manholes in existing District
easements on SCP property as shown on the attached Exhibit A
1
2. In order to minimize the chance of worker injury from lifting the 24" diameter
manhole covers, SCP shall purchase and install new manhole covers with either 4 5' or
6' diameter access openings cast into the cover The new manhole covers shall be equal
to or greater than Alhambra Foundry A 1270 covers. New covers shall be stamped
'Sewer SCP shall be responsible for verifying the size of the existing covers to be
replaced. Shop drawings of the manhole covers shall be submitted pnor to purchase and
installation. If a manufacturer other than Alhambra Foundary is used, structural
calculations of the cover, including the composition of the steel, shall be submitted to the
District for review prior to purchase and installation.
3 The contractor hired by SCP to perform the wash down, vacuum and filter
operations shall be familiar with industry standard traffic control measures and shall, at a
minimum, perform traffic control in conformance with the latest edition of the Work
Area Traffic Control Handbook(WATCH manual).
4 The SCP contractor shall perform the first discharge into each of the four (4)
District manholes in the presence of the District Inspector The contractor shall insure no
excess water or material is left on the surface of the manhole or in the immediate area.
5 Attached hereto as Exhibit 'B' and made a part of this Agreement is the
Special Sewer Discharge Permit dated March 17 2003
6. The District may revoke the permit for the use of the District sewer manholes at
any time without cause.
7 SCP and District agree that District, its employees, agents and officials should,
to the extent permitted by law be fully protected from any loss, injury damage, claim,
lawsuit, cost, expense, attorneys fees, litigation costs, defense costs, court costs or any
other cost arising out of or in any way related to the performance of this Agreement.
Accordingly the provisions of this indemnity provision are intended by the parties to be
interpreted and construed to provide the fullest protection possible under the law to
District. SCP acknowledges that District would not have issued the Special Sewer
Discharge Permit attached hereto in the absence of the commitment of SCP to indemnify
and protect District as set forth herein.
To the full extent permitted by law SCP shall defend, indemnify and hold harmless
District, its employees, agents and officials, from any liability claims, suits, actions,
arbitration proceedings, administrative proceedings, regulatory proceedings, losses,
expenses or costs of any kind, whether actual, alleged or threatened, actual attorney fees
incurred by District, court costs, interest, defense costs including expert witness fees and
any other costs or expenses of any kind whatsoever without restriction or limitation
incurred in relation to, as a consequence of or arising out of or in any way attributable
actually allegedly or impliedly in whole or in part to the performance of this agreement.
All obligations under this provision are to be paid by SCP as they are incurred by
District.
2.
Without affecting the rights of District under any provision of this agreement or this
section, SCP shall not be required to indemnify and hold harmless District as set forth
above for liability attributable to the sole fault of District, provided that such fault is
determined by agreement between the parties or the findings of a court of competent
jurisdiction. This exception will apply only in instances where District is shown to have
been solely at fault and not in instances where SCP is solely or partially at fault or in
instances where District's fault accounts for only a percentage of the liability involved. In
those instances, the obligation of SCP will be all inclusive and District will be
indemnified for all liability incurred, even though a percentage of the liability is
attributable to conduct of District. SPC acknowledges that its obligation pursuant to this
section extends to liability attributable to District, if that liability is less than the sole fault
of District. District shall promptly notify SCP of any claim for which indemnification
may be required hereunder, and SCP shall have the opportunity to defend such claim with
legal counsel reasonably satisfactory to District. If SCP undertakes such defense, District
shall cooperate as reasonably requested therein.
This obligation to indemnify and defend District as set forth herein is binding on
successors, assigns, or heirs of SCP
8. SCP agrees to provide insurance in accordance with the requirements set forth
here. If SCP uses existing coverage to comply with these requirements and that coverage
does not meet the requirements set forth herein, SCP agrees to amend, supplement or
endorse the existing coverage to do so. The following coverages will be provided by SCP
and maintained on behalf of District and in accordance with the requirements set forth
herein.
Commercial General Liability i Umbrella Insurance. Primary insurance shall be provided
on ISO-CGL form No. CG 00 01 11 85 or 88. Total limits shall be no less than two (2)
million dollars per occurrence for all coverages. District and its employees and agents
shall be added as additional insureds using ISO additional insured endorsement form CG
20 10 11 85 (in no event will District accept an endorsement form with an edition date
later than 1990). Coverage shall apply on a primary non-contributing basis in relation to
any other insurance or self-insurance, primary or excess, available to District or any
employee or agent of District. Coverage shall not be limited to the vicarious liability or
supervisory role of any additional insured. Umbrella Liability Insurance (over primary)
shall apply to bodily injury/property damage, personal injury at a minimum, and shall
include a drop down provision providing primary coverage above a maximum
$25,000 00 self-insured retention for liability not covered by primary policies but covered
by the umbrella policy Coverage shall be following form to any underlying coverage.
Coverage shall be provided on a 'pay on behalf' basis, with defense costs payable in
addition to policy limits. There shall be no cross liability exclusion. Policies shall have
concurrent starting and ending dates.

9 Nothing herein is meant to expand the rights of SCP to discharge, which is
limited to the terms of the Special Sewer Discharge Permit, attached hereto as Exhibit
'B'
10 This Agreement constitutes the sole agreement of the parties with respect to
the subject matter described herein. This Agreement may only be modified by a writing
signed by both parties. This Agreement supersedes all previous oral negotiations and
agreements.
11 Each party signing warrants that he/she has the capacity and authority to
execute this Agreement.
12. The obligations imposed herein shall run from the date of issuance of the
Special Sewer Discharge Permit, attached hereto as Exhibit 'B'
13 This Agreement shall be governed by and construed in accordance with the
laws of the States of California. In any action between the parties arising out of this
Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees
and costs.

Background
South Coast Plaza (SCP) desires to meet NPDES requirements for limiting
storm drain discharges that adversely affect ocean water quality SCP has
met with the City of Costa Mesa NPDES Coordinator and developed a plan to

SCP proposes to accomplish the diversion from the storm drain system to the
sewer system by vacuuming the used water into a holding tank on a trailer
filtering it, and them discharging it into the sewer system. The letter of
request from SCP is attached as Exhibit A

Costa .tit%a C 1 SCP intends to keep concrete surfaces throughout the plaza clean through

parking structures and outdoor concrete surfaces such as sidewalks landings
and slabs. The proposal does not include asphalt surfaces.
SCP will have two pressure washing systems. The first is a pressure washer
mounted in a Chevrolet pick-up truck that tows a 300-gallon capacity

Exhibit 'C' are the Environmental Compliance Systems specifications for the
recovery system.
The second concrete cleaning machine is an American Lincoln Technology
scrubber shown in Exhibit "D' The water recovered by this scrubber will be
pumped into the previously described Environmental Compliance Systems
recovery unit and filtered. The resulting filtered water will be discharged into
the on-site sewer system.
Conditions of Approval
1 SCP shall meet the requirements of the Costa Mesa Sanitary District
(CMSD) and the Orange County Sanitation District with respect to
allowable quantity and content of discharge
2. This special discharge permit applies to the South Coast Plaza property
only and no other property owned or controlled by the property owner
3 SCP shall exhibit cooperation with CMSD administrative and field staff
4 Collected water shall be discharged into privately owned on-site
manholes, not into CMSD manholes located in easements or in the
public streets. These locations will be reviewed by the CMSD Inspector
and the Inspector may direct the discharge to be moved to a different
location in order to facilitate proper operation of CMSD facilities. Sewer
discharges currently leave the property in a westerly northerly
easterly and southerly direction. The Inspector may be reached by cell
phone at (714) 293-3131
5 Records of the volume of water discharged into the sewer system shall
be provided to the District every six months to monitor the effect on the
public sewer systems
6 The vacuuming operation shall not be done during rainy periods, and
no rainwater is allowed to be discharged into the sewer system.
Likewise, no general surface water runoff is allowed to be vacuumed
and then discharged into the sewer system.

7 The discharge shall not include hazardous waste concentrated
automotive waste or products, detailing wash water chemical spills or
any other discharge normally prohibited from entering the sewer
system. The proposed operation is for concrete surfaces only not
asphalt surfaces
8 If a different vehicle or trailer is proposed for use or a different operator
is being utilized the District shall be notified and shall review the
operation SCP shall submit the company name operators name and
equipment specifications to the District. SCP shall also submit the
names and phone numbers of the SCP Staff who have authority over
the operator
9 All equipment shall be used in accordance with the manufacturer s
recommendations and shall be serviced and cleaned regularly
10 This permit is intended to assist the City and South Coast Plaza in
achieving cleaner surface waters and ocean water and the District
desires to cooperate to the best of its ability However the District
reserves the right to revoke this permit at any time
