I CONSENT INSTRUMENT
THIS CONSENT INSTRUMENT, made and entered into by and between
the United States of America, acting by and through the Secretary of
Health, Education, and Welfare (herein called the Secretary) , acting
by and through the Regional Director for Region IX of the Department
of Health, Education , and Welfare (herein called the Department) under
and pursuant to the powers and authority contained in the Federal
Property and Administrative Services Act of 1949 ( 63 Stat 377 ) as
amended (herein called the Act) , FIRST PARTY, and COUNTY SANITATION
DISTRICT NO 6 OF ORANGE COUNTY, CALIFORNIA, a political subdivision
of the State of California, SECOND PARTY ;
WITNESSETH
WHEREAS , by a Quitclaim Deed dated September 6 , 1955 , FIRST PARTY
conveyed to SECOND PARTY certain real property situated in the county
of Orange , State of California, therein more particularly described; and
WHEREAS , said Quitclaim Deed contained certain reservations ,
conditions , covenants and restrictions , including the condition that
during the period of twenty ( 20) years from the date thereof the
property conveyed thereby shall be utilized continuously for the public
health purposes in accordance with the proposed program and plan set
forth in the application of SECOND PARTY dated April 18 , 1955 , and for
no other purpose , and the further condition that SECOND PARTY will
resell , lease , mortgage or encumber of otherwise dispose of the property
conveyed thereby or any part thereof or interest therein only as the
Secretary , or his successor in function, in accordance with the appli-
cable regulations , may authorize in writing; and
WHEREAS , the portion of said property hereinafter described
consists of certain sewer facilities located upon the former Santa Ana

Army Air Base and within the area served by COSTA MESA SANITARY DISTRICT;
and portions of said former Air Base are now being subdivided for
residential use which will require the installation of new streets and
sewer facilities ; and
WHEREAS certain of the existing sewer facilities included within
the portion of said property hereinafter described are improperly
located to serve the subdivisions , and must therefore be abandoned and
new facilities installed and COSTA MESA SANITARY DISTRICT will require
the subdividers to install all such new sewer lines and facilities as
may be necessary to serve said newly created subdivisions ; and
WHEREAS , SECOND PARTY and COSTA MESA SANITARY DISTRICT desire to
enter into a certain lease under which SECOND PARTY will lease to COSTA
MESA SANITARY DISTRICT the portion of said property hereinafter described
for a term of fifteen ( 15) years commencing December 1 , 1960 and
terminating November 30 , 1975 , upon and subject to the terms and
conditions hereinafter set forth; and
WHEREAS , by virtue of the provisions of the Act the Secretary is
authorized on behalf of FIRST PARTY to consent to the leasing of said
portion of said property by SECOND PARTY to COSTA MESA SANITARY DISTRICT
upon such terms and conditions as will not prevent accomplishment of
the purposes for which said property was transferred by FIRST PARTY
to SECOND PARTY and upon such other terms and conditions as he shall
deem necessary to protect or advance the interests of FIRST PARTY; and
WHEREAS , the Secretary has found and determined that it is proper
to consent to such a lease upon and subject to the terms and conditions
hereinafter set forth ; and
WHEREAS , notice of the proposed action to be taken has been given
the Administrator of General Services in accordance with the Act and
he has approved of the same ;

NOW, THEREFORE , in consideration of the premises , the observance
and performance by SECOND PARTY and COSTA MESA SANITARY DISTRICT of
the covenants and conditions hereinafter contained, and other good and
valuable considerations , receipt of which is hereby acknowledged,
FIRST PARTY hereby grants consent to the execution by SECOND PARTY, as
Lessor, with COSTA MESA SANITARY DISTRICT, as Lessee , of a lease of
said portion of said property upon the following terms and conditions
( 1) The said lease shall be for a term of fifteen (15) years ,
commencing on December 1 , 1960 and terminating on November 30 , 1975
( 2 ) The Lessee under said lease shall agree to maintain the
leased facilities in good condition and repair and keep the same in
operation and use during the full term of the lease , except as herein-
after expressly provided In addition the Lessee shall agree to cause
to be installed new sewer facilities , which , combined with the existing
facilities , will completely serve and furnish sewer facilities to the
entire area now being served by the existing facilities
( 3) The lease shall provide that , subject to the written authoriza-
tion of FIRST PARTY, acting by and through the Secretary , the Lessee
shall have the right to abandon existing sewer facilities covered by
the lease , but only if the Lessee shall first cause to be installed new
sewer facilities which shall serve all of the same area now being served
by the existing sewer facilities leased by the Lessor to the Lessee
The lease shall further provide that the new sewer facilities so installed
shall take the place of the existing sewer facilities therein leased
and shall , for the purposes of fulfilling SECOND PARTY' S obligations to
FIRST PARTY, stand in their place and stead
(4 ) The Lessee shall guarantee that all persons now having the
use or right to use the sewer facilities let under said lease shall
continue to have the right to use any and all new sewer facilities which
replace existing sewer facilities

( 5) The lease shall be made expressly subject to the right of
FIRST PARTY to re-enter the lease premises upon the breach by SECOND
PARTY or COSTA MESA SANITARY DISTRICT of any covenant , condition or
restriction contained in said Quitclaim Deed dated September 6 , 1955 ,
and effect forfeiture of the title to all of the property thereby
conveyed and repossess the same or any portion thereof, and said lease
shall also be made expressly subject to the right of FIRST PARTY, in
the event of a national emergency , to the full and unrestricted
possession and use of the leased premises or any part thereof as set
forth and provided in said deed , and this consent shall in no event be
deemed a waiver or a relinquishment of any of the covenants , conditions,
restrictions , reservations , rights or remedies of FIRST PARTY as pro-
vided for in said Quitclaim Deed dated September 6 , 1955 , as related to
the portion of said property to be leased or to the remainder of the
property thereby conveyed by FIRST PARTY except to the extent that
consent is hereby given to the leasing of said portion of said property
hereinafter described upon and subject to the terms and conditions set
forth in this Consent Instrument
( 6 ) A copy of this Consent Instrument shall be attached to and
made a part of any lease executed by SECOND PARTY with COSTA MESA
SANITARY DISTRICT
( 7) In the event of a breach or a default in the performance of
any of the foregoing conditions by SECOND PARTY or its said Lessee,
COSTA MESA SANITARY DISTRICT, and the failure of them or either of
them within thirty ( 30) days after written demand made by the Secretary,
or his successor in function , to remedy such breach or default , the
consent hereby given to lease said portion of said property shall
immediately cease and terminate and be of no further force and effect
and thereupon FIRST PARTY SHALL have each and all of the rights and
remedies for effecting re-entry upon the property and forfeiture of the
right , title and interest of SECOND PARTY and of its said Lessee,

COSTA MESA SANITARY DISTRICT, for breach of conditions subsequent, all
as set forth and provided in said Quitclaim Deed dated September 6 , 1955 ,
as if this Consent Instrument had never been executed , and SECOND PARTY
and its said Lessee, COSTA MESA SANITARY DISTRICT, shall thereupon be
deemed to have waived and forfeited any and all rights , privileges or
estate theretofore inuring to them or either of them in or to the said
leased premises
The said portion of said property to which the foregoing pro-
visions of this Consent Instrument apply is particularly described as
follows
PART II
TRUNK SEWERS AND RIGHTS OF WAY AND/OR EASEMENTS LEADING TO OUTFALL SEWERS
Sewer trunk lines and easements within the Santa Ana Army Air Base,
lying within a portion of Lots 8 , 9 , 11 , and 12 of Berry Rancho, recorded
in Book 9 , page 7 of Miscellaneous Records of Los Angeles , County,
California, Lot 13 , Block "A" of Berry Tract , recorded in Book 9 , page 6 of
Miscellaneous Records of Los Angeles County, and a portion of Lot "A"
of Banning Tract , as shown on a map of said Tract , filed in the case of
Hancock Banning and Vs Mary H Banning, for partition and being Case
No 6385 upon the Register of Action of the Superior Court of the State
of California in and for Los AngelesCounty, California, more particularly
described as follows
A Portion of Parcel No. 1
An easement 20 00 feet in width , the center line of said easement
being the 18-inch vitrified clay pipe sewer as constructed and
described as follows
Beginning at the southeasterly corner of Lot 7 of said Block "A"
of the Berry Tract ; thence along the southerly prolongation of
the easterly line of Lot 7 , 3261 7 feet to Station "B" , the true
point of beginning ; thence easterly from Station "B" 658 00 feet ;
