12 WHEREAS COUNTY is preparing to contract for 'Resurfacing Of Various Streets In
13 Orange County 1986-87 (Contract No 3) hereinafter referred to as PROJECT which
14 consists primarily of resurfacing or reconstructing existing streets, some of which
15 lie within OWNER's service area and
16 WHEREAS OWNER maintains a sewer system including manholes within the area of
17 COUNTY's PROJECT and PROJECT will require manhole adjustment to the new street grade
18 and
19 WHEREAS, OWNER desires COUNTY to perform the adjustment of approximately
20 55 manholes (at an estimated cost of $220 each) as part of COUNTY S PROJECT. and
21 WHEREAS COUNTY is willing to include this manhole adjustment in its PROJECT at
22 OWNER s cost
23 NOW THEREFORE the parties hereto agree as follows
24 1 OWNER shall deposit with COUNTY s Environmental Management Agency $12,100 as the

estimated cost for said manhole adjustment Said deposit shall be made within ;46f days
26 of receipt of this executed agreement
27 2 OWNER, prior to commencement of said PROJECT shall place a paint mark on the curb
28 opposite each manhole and indicate distance from curb face to center of manhole

1 to facilitate subsequent locating and adjusting manholes by COUNTY COUNTY shall not
2 be held accountable for failure to adjust manholes which are not marked
3 3 COUNTY shall include in PROJECT contract documents 'Adjust Manhole as a bid item
4 and through its contractor shall adjust said sewer manholes to grade in accordance
5 with PROJECT contract documents based upon the Standard Specifications for Public Work
6 Construction 1985 edition
7 4 OWNER shall pay the total cost for adjusting said sewer manholes to grade Said
8 total cost will be determined by multiplying the unit price by the total number of
9 manholes adjusted plus 10% for COUNTY inspection and administration However , to
10 protect OWNER and COUNTY from unbalanced bids regardless of the bid amount, OWNER
11 shall be responsible for a unit price not to exceed $200 but not less than $155 If
12 extra work is required, its cost will be added to said total cost, but extra work will
13 only be performed after prior approval by OWNER s engineer or manager
14 5 COUNTY shall upon completion of said PROJECT prepare and submit to OWNER a
15 statement of the final cost authorized by this agreement, which statement will include
16 total number of manholes adjusted unit price, 10% inspection and administration
17 amount and extra work, if any

18 If this final cost exceeds the deposit Owner shall, within )0 days of receipt of
19 statement, pay COUNTY the difference if the final cost is less than the deposit,
20 COUNTY shall with the statement refund the difference to OWNER.
