AGREEMENT FOR SEWER MAIN MAINTENANCE
CLEANING AND RELATED SERVICES
SERVICES FOR 2011-2012 (2ND YEAR) I ��
This Addendum to Agreement is made this .9? day of /'V 1� �w'�, 2012, by
and between the Costa Mesa Sanitary District, a sanitary district established pursuant to
Health and Safety Code Section 6400 of seq. ("District") and National Plant Services,
Inc. ("Contractor")with reference to the following facts:
RECITALS
WHEREAS, District and Contractor entered into an agreement in December
2010 ("Agreement"), providing for Contractor to perform regular line cleaning
maintenance and emergency response; and
WHEREAS, said Agreement provided for an initial term of three (3) years and
contained an option to extend the agreement for two (2)additional one-year terms; and
WHEREAS, the parties are preparing to enter into the second year of services
under the Agreement, and Contractor and District desire to alter several terms of the
Agreement; and
NOW THEREFORE, Contractor agrees to perform second-year sewer main
maintenance cleaning in accordance with the original Agreement dated December 2010
between District and Contractor and also in accordance with this Addendum to that
Agreement:
AGREEMENT
1 Continuity in Footage Counting. In order to insure continuity between
videos and information obtained during televising, and the District's industry standard
method of using engineering stationing for manholes, sewer mains, and laterals,
Contractor is to insure video 'counter is set to zero at the center line of the beginning
manhole for each section of line being televised, as opposed to having the zero point
being the beginning of the sewer main being televised. For a forty-eight-inch (48°)
inside diameter manhole, the beginning of the pipe will normally be at the two-foot(2 ft.)
mark.

3. New Six-Year Cycle. District has revised the yearly footages and lines to
be cleaned for all six (6) of the yearly cycles, and Contractor shall disregard all Year 2

4. Plugging and Sealing Manhole Covers. Similar to Year 1 Contractor
shall re-plug, reseal, or re-plug and reseal each manhole that is found to be plugged or
sealed prior to Contractor removing the manhole cover
5. Price Adjustment. Prices shown In Year 1 shall be adjusted for Year 2 in
accordance with the original Agreement that states:
Compensation. The District will be charged the per linear foot
prices as shown in Exhibit 'A" for maintenance cleaning services. The
Contractor may request In writing an annual fee adjustment equal to the
Consumer Price Index (CPI) for the Los Angeles-Riverside-Orange
County Metropolitan Area published by the U.S. Department of Labor
Bureau of Labor Statistics for a twelve month period (March to March),
effective January 1 20 and for each consecutive year of the
Agreement. The District will have discretion to approve or deny

Contractor's request for an annual fee adjustment.
Pursuant to Contractor's written request for said adjustment, the change from the
March 2010 index of 666.177 to the March 2011 index of 686.144 is three percent
(3.00%), and Contractor is allowed this,adjustment. Contractor shall also provide an
updated rate sheet of related services, including closed circuit television (CCTV),
emergency response, root cutting, etc.
6. Manpower and Equipment Assigned to District Work. Contractor may
continue the practice of assigning two cleaning crews to District work.
7 Daily Footage. The original agreement states:
Contractor shall set as its goal 4,500-7,000 feet per day for maintenance
cleaning. Contractor recognizes that footages substantially above this
level result in less effective cleaning.
Contractor is encouraged to maintain footages closer to the lower goal in order to
maximize cleaning efficiencies. Distiict'and,Cpntractoi's goals are,to complete allof;tlie

8. Original Agreement to Remain in Effect. Except as modified by this
Addendum, the December 2010 Agreement between District and Contractor shall
remain full force and effect.

In accordance with your request,we are pleased to submit the following proposal:
Scope of Work: To provide sewer system and pump station maintenance and emergency services to the
District at the direction of the District. Services include(but are not limited to): `hot spot' jetting, pump
station cleaning, emergency sewer response services, and pre-CCTV inspection cleaning of sewers.
National Plant Services Will Furnish:All supervision, equipment and personnel necessary to perform
this work at the direction of Costa Mesa Sanitary District.
Costa Mesa Sanitary District Will Furnish: Complete access, openings and rights-of-way to the work
area; any and all local permits or licenses that may be required; all maps;all public relations and public
notifications; all traffic control plans and permits that may be required; any additional traffic control that
may be required in excess of NPS'truck-mounted arrowboard and cones; an unlimited water supply from
the nearest available hydrant(with water meter if required);
Note: Debris will be transported to OCSD' Plant 1 for off-loading. As of this date, off-loading at OCSD'
Plant 1 is a no-fee procedure. If this procedure changes during the course of the project, CMSD will be
responsible for disposal fees and charges.
Price: The following schedule of rates and charges will apply to the performance of this work.
