THIS AGREEMENT dated c ,� , 1984 is made by the CITY
OF COSTP. MESA, a political subdivis' n of the State of California (CITY), and
JAYCOX DISPOSAL COMPANY, INC. , DBA ORCO DISPOSAL, INC. (CONTRACTOR)
WHEREAS, CONTRACTOR presently performs refuse pick-up services under
contract to the Costa Mesa Sanitation District within the CITY and has the
facilities to perform the special trash pick-up and
WHEREAS, CONTRACTOR is the sole campany that currently collects trash on
a City-wide basis throughout the City of Costa Mesa and is familiar with the
residential collection routes and
WHEREAS, CONTRACTOR provided similar serviced for CITY in 1982 and
WHEREAS, the City Council has authorized an agreement to be entered into
to perform this special trash pick-up.
ACCORDINGLY, the parties hereto agree as follows
1 Responsibilities of CONTRACTOR
CONTRACTOR shall provide the following
a Sufficient manpower and equipment successfully to complete, within
a nine (9) week period, the special trash pick-up at the curb or regular place of
collection for all addresses regularly serviced by CONTRACTOR, and located within
the boundaries of the City of Costa Mesa
b Notification to all residents of their respective clean-up day at
least one week in advance, by hand delivery and placing notices on doors
2 Contract Price
It is agreed that the price for performing this service shall be
a Hand delivery of Notices and placement on doors $ 5,000 00
b. Special trash pick-up described above 18,260 00
c Administration 500 00
Total $23,760 00
3 Other Charges
Landfill disposal fees charged by the County of Orange shall be billed
by the CONTRACTOR separately Those costs will be added into the Final Billing
4 Responsibilities of CITY
CITY shall allow CONTRACTOR 30 days lead time to begin the project
and shall pay CONTRACTOR upon completion of the special trash pick-up
5. Advance Notices
The notices delivered by CONTRACTOR shall specify those items which
will not be picked up The notice shall further indicate that items which are
placed out for pick-up after the pick-up vehicle has passed may not be picked
up, or if they are, an additional sum will be charged by the CONTRACTOR. In any
case resolution of such problems shall be the sole responsibility of CONTRACTOR,
whose telephone number shall also be printed on the notices
6 Published Notice
CONTRACTOR shall also coordinate with CITY an additional advance
notice using the local newspapers to inform residents regarding the program.
Said notification will include the statement that neither CITY nor CONTRACTOR
will be responsible for items placed at the curb which are ineligible for
pick-up.
7 Hold Harmless and Indemnification
CONTRACTOR agrees to protect, defend, indemnify and hold harmless
CITY and its elected and appointed boards, officers, agents, and employees from
any and all claims liabilities, expenses or damages of any nature, including
attorney fees, for injury to or death of any person, and for injury to any

property, including consequential damages of any nature resulting therefrom,
arising out of or in any way connected with the performance of this Agreement,
including damages resulting, or allegedly resulting, (a) from concurrent pas-
sive negligence, by act or omission of CITY or any of its elected or appointed
boards, officers, agents or employees in connection with the work, and (b) from
violation by W TTRACTOR or any subcontractor of any statute, law, regulation or
other legal requirement concerning a safe and healthful place of employment for
workers
8 Insurance
CONTRACTOR shall obtain and maintain during the life of this Agree-
ment insurance coverage identical to that provided by CONTRACTOR in its current
agreement with the Costa Mesa Sanitary District CONTRACTOR shall provide
CITY with a certificate of insurance, duly executed by the CONTRACTOR'S insur-
ance carrier, which shall serve as evidence of the continued existence of said
insurance policies.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
