This Second Amendment to Restated District Manager Agreement (Restated
2022) is made and entered into this `i day of March 2024, by and between the Costa
Mesa Sanitary District, a sanitary district established pursuant to Health and Safety
Code §6400 et seq. ("District") and Scott Carroll ("Manager") with reference to the
following facts:
RECITALS
WHEREAS, District hired Manager after a competitive search and he began work
on January 4, 2010; and
WHEREAS, pursuant to the terms of General Manager's Employment Agreement
the Board has reviewed Manager's performance every year and provided compensation
and other adjustments as part of that process; and
WHEREAS, the Board does hereby desire to make an adjustment to Manager's
compensation for the next year.
NOW, THEREFORE, the parties agree as follows:
Section 1. That Manager's salary compensation shall be increased by 5%, to $231,484.00
per year, retroactive to January 4, 2024.
Section 2. That except as modified, all other terms and conditions of the Restated
Employment Agreement (2022) shall remain in effect except that benefits shall be based
on this new salary.
IN WITNESS WHEREOF, the parties hereto have caused this Second Amendment
to Restated Employment Agreement (District Manager) 2022 to be entered into the date
and year first above written.
