Contract - Carroll, Scott - 2021-03-22FOURTH AMENDMENT TO 2017 EMPLOYMENT AGREEMENT (GENERAL MANAGER SCOTT CARROLL) This Fourth Amendment to Employment Agreement is made and entered into this 22nd day of March, 2021, by and between the Costa Mesa Sanitary District ("District") and Scott Carroll (General Manager) with reference to the following facts: RECITALS WHEREAS, the District hired Scott Carroll as its General Manager after a competitive search on January 4, 2010; WHEREAS, General Manager has served since then and his employment has been subject to an employment agreement since that date; and WHEREAS, General Manager's terms of employment are currently set forth in a Restated Employment Agreement for 2017 (hereinafter "Employment Agreement") and was amended on June 28, 2018 to increase his compensation by one percent per year; and amended on March 28, 2019 to provide a one-time incentive payment of three percent of his annual compensation and the District contributed $25.00 per month towards a health club or gym membership of the General Manager's choice; and on June 22, 2020 the General Manager declined a cost of living increase to his salary due to the COVID-19 pandemic; and WHEREAS, the Board has considered the General Manager's performance and has determined that it warrants an increase in his compensation equal to the U.S Department of Labor Consumer Price Index (CPI) in the Los Angeles -Long Beach - Anaheim area from February to February and that General Manager should now also receive an adjustment for the previous year; and WHEREAS, the CPI for 2019-2020 was approximately 3.4 percent, and the CPI for 2020-2021 was approximately 1 percent, and the parties have determined that the General Manager's compensation should be increased by 3'/2 percent beginning July 1, 2021, which is less than CPI. NOW, THEREFORE, the parties do hereby agree to provide General Manager with an increase in his compensation of three and one-half percent of his salary effective July 1, 2021 and to amend the Restated 2017 Agreement accordingly: Section 1. The General Manager's salary compensation shall be increased by three and one-half percent to $198,078.17 per year, paid in regular payroll installments. Section 2. That all other benefits shall remain the same except that benefits shall be based on the new salary amount. Section 3. That except as expressly modified herein, the terms and conditions of the Restated 2017 Agreement shall remain in effect and govern the rights of the parties.
