Agreement - Revize LLC - 2020-09-03 AGREEMENT FOR DISTRICT WEBSITE SERVICES
This Agreement is made and effective as of September 3, 2020, between the
Costa Mesa Sanitary District, a sanitary district ("District") and Revize LLC, a
corporation ("Consultant"). In consideration of the mutual covenants and conditions set
forth herein, the parties agree as follows:
Recitals
WHEREAS, District requires website design, development, and hosting services;
and
WHEREAS, Consultant is experienced in providing website design, development,
and hosting services for other local government entities; and
WHEREAS, Consultant is knowledgeable about California legal requirements for
local government entities and is competent to provide these services; and
NOW, THEREFORE, the parties hereto do hereby agree as follows:
1. TERM
This Agreement shall commence on September 3, 2020 and shall remain and
continue in effect until September 2, 2025, unless sooner terminated pursuant to the
provisions of this Agreement.
2. SERVICES
Consultant shall provide website design, development, and hosting services that
meet the requirements of State law and shall perform in accordance with its proposal
set forth as Exhibit A.
3. PERFORMANCE
Consultant shall at all times faithfully, competently and to the best of its ability,
experience, and talent perform all tasks described herein. Consultant shall employ, at a
minimum, generally accepted standards and practices utilized by persons engaged in
providing similar services as are required of Consultant hereunder in meeting its
obligations under this Agreement.
4. PAYMENT,
The District agrees to pay Consultant $6,000 per year of the agreement term to
provide website design, development, and hosting services as set forth in Exhibit A.
5. SUSPENSION OR TERMINATION OF AGREEMENT
a) If either party has cause to terminate, they may terminate by giving 10 days
notice of the cause, and an opportunity to cure within 30 days. If the cause is not cured
within that time period, either party may terminate and seek damages.
b) Either party may terminate the Agreement without cause by giving 30 days
notice. If District terminates Consultant without cause, Consultant will be compensated
by District for work performed prior to and including such termination date. It is agreed
by the parties that Consultant shall be entitled to recoup the full amount of website
development, which equates to $13,000 if it is terminated without cause. Such sum is to
be paid over the term of the contract, so any remaining amount that has not been paid
shall be owed. In addition, Consultant shall be entitled to the annual maintenance fee of
$3400, which will be prorated to the date of termination.
6. OWNERSHIP OF DOCUMENTS
(a) Consultant shall maintain complete and accurate records with respect
to the website design, development, hosting services and other such information
required by District that relate to the performance of services under this Agreement.
Consultant shall maintain adequate records of services provided in sufficient detail to
permit an evaluation of services. All such records shall be maintained in accordance
with generally accepted accounting principles and shall be clearly identified and readily
accessible. Consultant shall provide free access to the representatives of District or its
designees at reasonable times to such books and records; shallive District the right to

examine and audit said books and records; shall permit District to make transcripts
therefrom as necessary; and shall allow inspection of all work, data, documents,
proceedings and activities related to this Agreement. Such records, together with
supporting documents, shall be maintained for a period of three (3) years after receipt of
final payment.
(b) Upon completion, termination or suspension of this Agreement all other
documents prepared in the course of providing the services to be performed pursuant to
this Agreement shall become the sole property of the District and may be used, reused
or otherwise disposed of by the District without the permission of the Consultant.
7. INDEMNIFICATION
(a) Indemnification for Professional Liability. When the law establishes a
professional standard of care for Consultant's Services, to the fullest extent permitted by
law, Consultant shall indemnify, protect, defend and hold harmless District and any and
all of its officials, employees and agents ("Indemnified Parties") from and against any
and all losses, liabilities, damages, costs and expenses, including attorney's fees and
costs to the extent same are caused in whole or in part by any negligent or wrongful act,
error or omission of Consultant, its officers, agents, employees or subconsultants (or

any entity or individual that Consultant shall bear the legal liability thereof) in the
performance of professional services under this Agreement.
(b) Indemnification for Other Than Professional Liability. Other than in the
performance of professional services and to the full extent permitted by law, Consultant
shall indemnify, defend and hold harmless District, and any and all of its employees,
officials and agents from and against any liability (including liability for claims, suits,
actions, arbitration proceedings, administrative proceedings, regulatory proceedings,
loses, expenses or costs of any kind, whether actual, alleged or threatened, including
attorneys fees and costs, court costs, interest, defense costs and expert witness fees),
where the same arise out of, are a consequence of, or are in any way attributable to, in
whole or in part, the performance of this Agreement by Consultant or by any individual
or entity for which Consultant is legally liable, including but not limited to officers,
agents, employees or subconsultants of Consultant.
8. INSURANCE
Consultant shall maintain prior to the beginning of and for the duration of this
Agreement insurance coverage as specified in Exhibit B attached to and part of this
Agreement. Such insurance shall include commercial general liability, and current
automotive and worker's compensation. A certificate of insurance shall be submitted.
9. INDEPENDENT CONSULTANT
(a) Consultant is and shall at all times remain as to the District a wholly
independent Consultant. The personnel performing the services under this Agreement
on behalf of Consultant shall at all times be under Consultant's exclusive direction and
control. Neither District nor any of its officers, employees, or agents shall have control
over the conduct of Consultant or any of Consultant's officers, employees, or agents,
except as set forth in this Agreement.
(b) No employee benefits shall be available to Consultant in connection with the
performance of this Agreement. Except for the fees paid to Consultant as provided in
the Agreement, District shall not pay salaries, wages, or other compensation to
Consultant for performing services hereunder for District. District shall not be liable for
compensation or indemnification to Consultant for injury or sickness arising out of
performing services hereunder. In addition to the indemnity provisions in Paragraph 7,
Consultant shall indemnify District for any claims that any officer, agent or employee of
Consultant is eligible for pension or other fringe benefits provided to District's
employees.
10. LEGAL RESPONSIBILITIES
The Consultant shall keep itself informed of State and Federal laws and
regulations, which in any manner affect those employed by it or in any way affect the

performance of its service pursuant to this Agreement. The Consultant shall at all times
observe and comply with all such laws and regulations. The District, and its officers and
employees, shall not be liable at law or in equity occasioned by failure of the Consultant
to comply with this Section.
11. UNDUE INFLUENCE
Consultant declares and warrants that no undue influence or pressure has been
used against or in concert with any officer or employee of the Costa Mesa Sanitary
District in connection with the award, terms or implementation of this Agreement,
including any method of coercion, confidential financial arrangement or financial
inducement. No officer or employee of the Costa Mesa Sanitary District will receive
compensation, directly or indirectly, from Consultant, or from any officer, employee or
agent of Consultant, in connection with the award of this Agreement or any work to be
conducted as a result of this Agreement. Violation of this Section shall be a material
breach of this Agreement entitling the District to any and all remedies at law or in equity.
12. NO BENEFIT TO ARISE TO LOCAL EMPLOYEES
No member, officer, or employee of District, or their designees or agents, and no
public official who exercises authority over or responsibilities with respect to any project
during his/her tenure or for one year thereafter, shall have any interest, direct or indirect,
in any agreement or sub-agreement, or the proceed thereof, for work to be performed in
connection with the website design, development, and hosting services performed
under this Agreement.
13. RELEASE OF INFORMATION / CONFLICTS OF INTEREST
(a) All information gained by Consultant in performance of this Agreement shall
be considered confidential and shall not be released by Consultant without District's
prior written authorization. Consultant, its officers, employees, agents or subconsultants,
shall not without written authorization from the District Manager or unless requested by
the District Counsel, voluntarily provide declarations, letters of support, testimony at
depositions, response to interrogatories, or other information concerning the work
performed under this Agreement or relating to any project or property located within the
District. Response to a subpoena or court order shall not be considered "voluntary"
provided Consultant gives District notice of such court order or subpoena.
(b) Consultant shall promptly notify District should Consultant, its officers,
employees, agents or subconsultants be served with any summons, complaint,
subpoena, notice of deposition, request for documents, interrogatories, requests for
admissions, or other discovery request, court order, or subpoena from any person or
party regarding this Agreement and the work performed thereunder or with respect to
any project or property located within the District. District retains the right, but has no
obligation, to represent Consultant and/or be present at any deposition, hearing, or

similar proceeding. Consultant agrees to cooperate fully with District and to provide the
opportunity to review any response to discovery requests provided by Consultant.
However, District's right to review any such response does not imply or mean the right
by District to control, direct, or rewrite said response.
14. NOTICES
Any notices which either party may desire to give to the other party under this
Agreement must be in writing and may be given either by (i) personal service, (ii)
delivery by a reputable document delivery service, such as but not limited to, Federal
Express, which provides a receipt showing date and time of delivery, or (iii) mailing in
the United States Mail, certified mail, postage prepaid, return receipt requested,
addressed to the address of the party as set forth below or at any other address as that
party may later designate by notice:

15. ASSIGNMENT
The Consultant shall not assign the performance of this Agreement, nor any part
thereof, nor any monies due hereunder, without prior written consent of the District.
16. LICENSES
At all times during the term of this Agreement, Consultant shall have in full force
and effect, all licenses required of it by law for the performance of the services
described in this Agreement.
17. GOVERNING LAW
The District and Consultant understand and agree that the laws of the State of
California shall govern the rights, obligations, duties and liabilities of the parties to this
Agreement and also govern the interpretation of this Agreement. Any litigation
concerning this Agreement shall take place in the municipal, superior or federal district
court with jurisdiction over the Costa Mesa Sanitary District.

18. ENTIRE AGREEMENT
This Agreement contains the entire understanding between the parties relating to
the obligations of the parties described in this Agreement. All prior or contemporaneous
agreements, understandings, representations, and statements, oral or written, are
merged into this Agreement and shall be of no further force or effect. Each party is
entering into this Agreement based solely upon the representations set forth herein and
upon each party's own independent investigation of any and all facts such party deems
material.
19. AUTHORITY TO EXECUTE THIS AGREEMENT
The person or persons executing this Agreement on behalf of Consultant
warrants and represents that he/she has the authority to execute this Agreement on
behalf of the Consultant and has the authority to bind Consultant to the performance of
its obligations hereunder.
20. INTERPRETATION
In the event of conflict or inconsistency between this Agreement and any other
document, including any proposal or Exhibit hereto, this Agreement shall control unless
a contrary intent is clearly stated.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed the day and year first above written.

Details:
Lake County Water Authority is a new Revize client. This website was recently
redesigned in 2019 to highlight all of the programs and procedures that the water
authority handles on a daily basis. The design does not overburden the user with too
much content. It separates that content into different focus areas. This lets their
customers get information in a way that is much more of an experience. The
straightforward news and events feature images that promote click-through. With
the Revize CMS this authority is able to quickly and easily update the website in just

closely with ours and actually provided their own design concepts. We did the
integration/pre-launch work and their staff was with us every step of the way. Inner

The City of Seguin, Texas is a clear example of how we adapt to our clients' needs
and custom tailor our process. During our on-site discovery meeting in Seguin, we
determined that, in addition to the city website, there were some overarching goals
of economic development and increasing the library's presence online. Therefore,
instead of "shoehorning" those departments in the main City website, we built a new
City website, EDC website, Visitors website, and Library website, all with a similar
brand but a unique design. Our focus is to help achieve the goals of our clients. While

Your Revize Account Manager will set up the initial internal project planning meeting
where we will talk about the overall management of your project, establish a timeline,

The Revize Web Application Developers are not only responsible for the look,

Phase 3: Template Development, CMS Integration
First, the Revize development team will transform the approved designs from mere
pictures into fully-functioning HTML/CSS and Revize Smart Tag enabled web page
templates using the Revize Dreamweaver Extension. The Revize Smart Tags are fully
customizable and allow customers to expand functionality as needed. To maximize
this extensibility, the full Revize Java API is provided to clients with our Advanced
Training Program.
Phase 4: CMS Modules Setup
In this phase, all of the features and modules the client has requested will be set up,
e.g. calendar, document center, picture galleries, alert center, e-Notify, etc. are all
brought to life and made functional while also being tested in the Revize CMS. Revize

Phase 5: Custom Functionality Development

Phase 6: Quality Assurance Testing

This app allows residents to submit requests based on a map view. Each time an
issue is submitted, a staff member will receive an email notification. From there they
are able to respond directly to the requests. Photo submission, automatic esclation,
mobile app integration, and archived reporting make this one of our most powerful
features!
CONSTITUENT REQUEST CENTER
This app allows customers, residents, participants, students, or any website visitor to
post requests online. By the use of a drop down menu, individuals can forward the
request, idea, or comment to the party of interest. That item is then forwarded via
email to the proper recipient. You can add or delete department names as well as
individuals in the drop down menu at any time. Captcha is integrated to ensure each
request is genuine and not a spam.
PUBLIC RECORDS REQUEST TRACKER
This app allows public to order copies of the public records maintained by a
municipality. The request is routed to the record custodian within a department and
automated response is generated with a unique tracking number. The system allows
the full tracking, correspondence and online handling of all types of public record
request. The record request form is very flexible and customizable for every
municipality.
CONSTITUENT CONNECT
This app helps open up the lines of communication between administrators and their
constiuents, increasing transparency and contiuent interaction. It is a blog that
features the option to allow constiuent comments for feedback (comments can be
moderated before being published to the website).

Using this app, you can upload agendas, meeting packets, meeting minutes,
proposals for review, and more, all into one area on your website for easy access and
review before, during, or after each meeting. Old meeting agendas and information
are archived per meeting for quick access at any time.
JOB POSTING APP
This app allows you to post a job and receive resume submissions online. Candidates
can fill in all the fields and submit the job application online. Once the job application
is submitted, a link to the filled in application form will be emailed to the responsible
HR person which they can view, print and file for their records.
IMAGE MANAGER
Allows approved staff to upload images from their computer or network folders. This
very simple interface allows you to upload new pictures and stores uploaded pictures
for reuse. Each department can create their own image folders and organize image
libraries by department. Also, obsolete images can be deleted from the image library.
INTRANET
Provides a Dynamic CMS-enabled area with secure login to build out an entire
Intranet for employee specific information only. It benefits your employees to have
an internal organization landing page that can be updated with news, events, alerts
and many of the same modules used on the extranet.
LINK CHECKER
When a new link is created, the Revize system checks if the URL (link) is valid or not.
If not, an error message will be displayed. This benefits the Content Editor by double
checking bad links before they are saved on your website.

AUDIT TRAIL
This is a powerful administrative tracking tool that provides reports on the content
change activities of any webpage within the system. The administrator can gauge
how often the site is updated, which departments are most active; and also use the
audit trail for recovery of data if necessary.
AUTO SITEMAP TOOL
Revize CMS provides this tool to automatically generate a sitemap. Anytime a new
page is added or deleted from the system, the sitemap will republish to show the
change. An up-to-date sitemap is very critical to boost the ranking of your website in
different search engines.
HISTORY LOG
Administrators can view all the archived versions of any web page and restore any
old/archived page. It is a very useful feature for referring to any archived legal
documents or press releases.
ROLES/PERMISSION SETUP
Our CMS uses a role based authentication system where you can add individual user
accounts and assign them system roles like Editor, Developer, Administrator,
Workflow Approvers etc., or you can add roles for each department and assign
department-specific roles to each user.
SECURE SITE GATEWAY
Provides a secure login area for either users of an intranet or users to access
information not available to the general public. Once users are set-up with a secure
login ID, they can manage their own password changes as necessary.
WEBSITE STATISTICS
Revize integrates Google's Web Analytics tool to track number of site visits, website
traffic sources, etc. Your website administrator can run various reports to collect

The Costa Mesa Sanitary District (CMSD) requires certificates of workers' compensation, general
liability, automobile, and if necessary, professional errors and omissions insurance before you can
begin work for CMSD. All certificates must contain the following:
❑ Workers' Compensation — Minimum policy limit requirements are $1,000,000 bodily injury by
disease; and $1,000,000 bodily injury each employee for accident or disease per occurrence. If
you have no employees, you must sign a Declaration of Non-employee Status form available
from the District. In lieu of a certificate of insurance, a certificate of Consent to Self-Insure issued
by the California Director of industrial Relations is also acceptable.
❑ General Liability — Minimum policy limit requirement is $1,000,000 combined single limit
coverage with insurance designated "per occurrence." Insurance must include coverage for
ongoing operations and completed operations. The insurance carrier providing the commercial
general liability policy must have an AM Best Rating of A-or better and be an admitted carrier in
the State of California or an approved Surplus Line Insurer from California Department of
Insurance.
O Automobile Liability — Minimum policy limit requirement is $1,000,000 combined single limit
coverage with insurance designated "per occurrence." The "Any Auto" box must be checked.
O Professional Errors and Omissions (if necessary) — Minimum policy limit that is appropriate
to the profession.
❑ Description of Operations—The following wording must be added to the policy: "All operations:
Costa Mesa Sanitary District, their elected and appointed officials, agents, officers, volunteers,
and employees listed as Additional Insured— Pursuant to attached endorsement."
O Change in Coverages — The following wording must be added to the policy by endorsement:
"Said policy shall not terminate, nor shall it be canceled nor the coverage reduced, until thirty(30)
days after written notice is given to the District."
❑ Excess and Non-contributing — The following wording must be added to the policy by
endorsement: "Any other insurance maintained by the Costa Mesa Sanitary District shall be
excess and non-contributing with the insurance provided by this policy."
❑ Additional Insured Endorsement — (for General Liability, Automobile only). This must be a
separate attachment naming the District as additional insured. The endorsement must include
the policy number and the wording of the additional insured must be exact, stating: "The Costa
Mesa Sanitary District, its elected and appointed officials, agents, officers, volunteers and
employees are additional insureds." ISO Form CG 20 12 07 98, or a comparable equivalent must
be used.
