Contract - Roger Faubel Public Affairs, Inc. - 2017-01-11 First Amendment AGREEMENT FOR CONSULTANT SERVICES Roger Faubel Public Affairs, Inc. This FIRST AMENDMENT to Agreement for consultant services is made into this i1 day of January, 2017, by and between the Costa Mesa Sanitary District, a sanitary district ("DISTRICT"), and Faubel Public Affairs Inc., a California Corporation ("CONSULTANT"). Recitals WHEREAS, on July 28, 2016 the DISTRICT and CONSULTANT entered into an agreement for consulting services for community outreach; and WHEREAS, the terms of the Agreement ended on November 28, 2016; and WHEREAS, the Board, Ad Hoc Committee and staff thereafter encouraged CONSULTANT to provide services thereafter and CONSULTANT did so, pursuant to that encouragement; and WHEREAS, the DISTRICT and CONSULTANT desires to amend the scope of services and extend the term of the Agreement for six months; and WHEREAS, on December 22, 2016 the DISTRICT Board of Directors approved extending the term of the Agreement on a month to month basis for a maximum of six months; and WHEREAS, on December 22, 2016 the DISTRICT Board of Directors also approved revising the monthly retainer for CONSULTANT in the amount of$10,000. NOW, THEREFORE the parties hereto agree as follows: 1. Pursuant to Section 2 of the Agreement the SERVICES is hereby amended and described in the Scope of Services attached hereto as Exhibit "A". 2. Pursuant to Section 4 of the Agreement the compensation for SERVICES shall be billed a monthly retainer of $10,000 and shall not exceed seventy thousand dollars ($70,000) 3. The term of this First Amendment shall become retroactive and effective on December 1, 2016 and shall remain and continue in effect until May 31, 2017. 1 PSA 12 10 4. Except as specifically amended by the terms of this First Amendment, all provisions of the original Agreement shall remain in full force and effect. Title APPROVED AS TO FORM: District Counsel 2 PSA 12 10 Exhibit "A" SCOPE OF SERVICES The team of Faubel Public Affairs and Curt Pringle & Associates shall perform the following services pursuant to this agreement: LAFCO 1. Invite each member of the Orange County Local Agency Formation Commission (LAFCO) and the Executive Officer, Carolyn Emery, to tour Costa Mesa Sanitary District's new headquarters and facilities. 2. Monitor agendas and attend monthly and special LAFCO meetings. 3. Work with CMSD staff to provide LAFCO Commissioners with regular communications on the progress of shared services discussions and implementation. Region & Countywide Efforts 1. Facilitate CMSD membership at Orange County Business Council (OCBC) and Association of California Cities — Orange County (ACC-OC). 2. Recommend and provide materials for regular updates to Costa Mesa and Newport Beach City Councils (including verbiage for public comments) and Irvine Ranch Water District (IRWD) Board. 3. Work with CMSD Board and staff on the composition and purpose of a proposed Community Advisory Committee that will assist with the dissemination of positive messaging to your customers. 4. Identify and work with CMSD Board and staff on outreach efforts to targeted homeowner associations within the CMSD service territory. Media/Communications 1. Continue ongoing assistance with outreach to local print and electronic media, including the provision of press releases, statements and talking points for interviews. 2. Provide ongoing support and guidance regarding participation in various social media platforms. 3. Review and edit materials for CMSD newsletters and annual reports. 4. Work with CMSD staff to produce and provide communications to Costa Mesa and Newport Beach for mentions in those respective cities' newsletters and on their social media platform(s). 5. Provide ongoing communication to local and state legislators on the status of CMSD efforts on shared services, waste diversion, environmental stewardship and fiscal responsibility. 6. Work with CMSD management staff to produce a monthly calendar which will include various internal and external meetings, submission deadlines and other dates of relevance to our efforts. Other 1. Provide such other services as may be directed in writing by the Board, Ad Hoc Committee or General Manager. We think you will agree that our partnership has been extremely productive and enjoyable. As you are aware, our agreement will lapse on November 28t. We previously discussed with you and President Scheafer the extension of our contract to assist in dealing with potential LAFCO issues, drafting and editing press releases and collateral materials and strengthening relationships with various stakeholder and key decision makers. Given what we already know, and what we expect to transpire in the near future, we believe strongly that it would be prudent for CMSD to consider a one-year extension of our agreement at$10,000.00 per month. No one could have predicted the activity level of the past four months. We are proud to have "over delivered" our services and in a timely manner,and feel that this increase in our monthly retainer structure is merited given the scope of work that lies ahead. Again, you have been a terrific client and we believe we can continue our momentum in enhancing the CMSD brand.
