Re: Requesting Consent for Assignment of Government Outreach Software Contracts
To Whom It May Concern:
Reference is made to the agreement title "Government Outreach Subscription Agreement" dated as of
9/24/2013 as amended from time to time (the "Agreement") between Accela, Inc., a California corporation
("we" or "our") and the undersigned entity ('you" or "your"). Capitalized terms used but not defined herein
have the meanings ascribed to them under the Agreement.
In order to better serve you, we are assigning the Agreement to GOGovApps, Inc., a California corporation (the
"Assignee"), an entity formed by former Government Outreach and Accela personnel, Kendall Smith and
Steven Brozosky, effective as of January 1, 2017 (such assignment and delegation, the "Assignment'). In
connection with the Assignment, Assignee will assume all of our obligations under the Agreement, although
until the next annual renewal of the Agreement, Accela will also remain bound by the terms and conditions of
the Agreement.
The Agreement requires, and we seek, your consent to the Assignment. Please sign this letter to acknowledge
your consent and return it by email to legal opsPaccela.com.
Because the Assignment is scheduled to close by year end, we ask that you send us the signed consent by
December 30, 2016.
